Digital Products Terms & Conditions

These terms apply to all digital publications (free or paid) provided by the Institute of Canadian Agencies (“ICA”) through any ICA-controlled distribution mechanism or third-party platform used by the ICA to deliver digital content now or in the future.

What You Are Accessing

You are receiving access to a digital publication (PDF or similar file) produced and owned by the ICA. All ICA publications are licensed, not sold. You receive a limited licence to use the publication internally as described in these terms.

These terms apply to:

  • Free industry-wide ICA resources (e.g., guides, toolkits, templates)
  • Member-included ICA resources provided as part of ICA membership benefits
  • Paid ICA publications, research reports, or analyses
  • Any future ICA digital content, updated versions, or revised editions released by the ICA

Your Licence allows internal use within your organization, subject to the licence terms below. No other rights are granted unless explicitly stated.

Licence Terms

Unless explicitly stated otherwise:

  • The publication is for internal use only by the individual or organization that downloaded it.
  • External redistribution is not permitted (clients, vendors, partners, public sharing, events, websites, newsletters, cloud drives visible outside your organization).
  • No resale, sublicensing, gifting, or uploading to public or accessible repositories.
  • No use of ICA content in AI or model-training systems, including but not limited to OpenAI, DeepSeek, Anthropic, Google, Meta, or similar services.
  • Do not remove or alter watermarks or copyright notices.

If you require external distribution rights, email ica@icacanada.ca for an extended-use licence.

Limited Public Sharing 

You may publicly share a single chart, graph, or short excerpt from an ICA publication ONLY IF:

  1. You clearly attribute the ICA, and
  2. You tag the ICA when sharing on social platforms (e.g., LinkedIn), and
  3. You share no more than one excerpt per publication and nothing that could substitute for full access.

Full pages, chapters, datasets, templates, or toolkits may not be posted or distributed.

Paid Publications

Where payment is required:

  • Transactions may be processed through Stripe, SendOwl, or other ICA-approved payment processors.
  • Prices are in CAD unless otherwise stated.
  • Applicable taxes (GST/HST) are calculated at checkout or on the invoice.
  • Québec buyers: The ICA is not QST-registered. You may be required to self-assess QST on your purchase.
  • Publications may include PDF stamping (email, order ID, licence type).

Delivery & Access

Digital publications may be delivered via:

  • secure download link
  • email attachment or link
  • password-protected webpage
  • a third-party file-delivery platform selected by the ICA

Download links may expire or limit the number of downloads. If you lose access, contact ica@icacanada.ca for assistance.

Refunds & Cancellations

For paid digital publications, all sales are final except where required by law.

If you experience technical issues (e.g., corrupted file, download failure), contact the ICA within 7 days and we will reissue access.

Refunds (if granted) will result in download access being revoked.

Intellectual Property

All ICA publications – including content, design, analysis, data, templates, and layout – are © the Institute of Canadian Agencies and/or licensors.

Nothing in these terms transfers copyright ownership. You receive only the limited licence described above.

Trademarks, logos, and third-party materials remain the property of their respective owners.

Confidentiality & Data Protection

Where ICA publications contain anonymized or aggregated data, you agree not to:

  • attempt re-identification
  • misuse non-public methodologies
  • extract or repurpose data into derivative datasets or commercial products

Disclaimers

ICA publications are provided “as is” for informational purposes. They are not legal, financial, accounting, or procurement advice. No business outcomes are guaranteed or implied.

All implied warranties are disclaimed to the full extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law:

  • ICA’s total liability for any claim related to a publication is limited to the amount paid (if any).
  • ICA shall not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or lost opportunities.

Licence Enforcement

To protect its intellectual property, the ICA may:

  • use watermarking or stamping
  • monitor unusual download behaviour (where supported)
  • request written confirmation of licence compliance
  • suspend access where misuse is suspected

Chargebacks & Fraud

If your transaction is processed through Stripe, SendOwl, or another payment platform, initiating a chargeback without contacting ICA support may result in access suspension.

The ICA may provide transaction records (email, IP, timestamps, or access logs) to payment processors during dispute resolution.

Privacy

Third-party service providers (e.g., Stripe, SendOwl, SharePoint, or future tools) may process limited personal information necessary to complete a transaction or deliver a file.

Changes to These Terms

The ICA may update these terms for future publications. The version in effect at the time of download governs that publication.

These terms apply regardless of the delivery platform or hosting system used.

Governing Law

These terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. You consent to the exclusive jurisdiction of the courts in Toronto, Ontario.
